Well folks, we have to do this and we hope that these terms are acceptable to you. Our lawyers are cool so the legal stuff is less formal than the usual documents that you see all over the place.

Use of the Site

We are a platform that allows you to learn more and connect with the person the site represents. Under our platform, users may contact the named person as well as read and download materials pertaining to said person. We offer you these services “as is” for the purpose of supporting a collaborative community that we would like you to respect, all in accordance with the terms and conditions under this Agreement. 

You agree that this is a platform and is not responsible for any content and/or outcome of your participation on the site. You use this Site at your own risk.

Beta Version 

The Site is currently a beta version and is still being tested before its official release. All contents found on the Site are provided on an “as is” basis and may contain defects or errors (i.e., bugs, glitches). You acknowledge and accept that you are using a beta application. 

You agree that all information provided as part of the beta version of the Site is confidential information and all feedback provided by you shall also be considered as confidential information. You shall not disclose, or otherwise make available, such confidential information in any form to any third party. 

Should you encounter any bugs or other problems on the website, please let us know immediately so we can fix them as quickly as possible!

Compliance & Age Restriction  

The use of the Site is available to those who are 18 years and older. You represent and warrant that you are at least 18 years old.

If you are younger than 18 years, we welcome you ONLY in conjunction with, and under the supervision of, a parent or legal guardian who is at least 18 years of age.

Your compliance means that you agree to comply with all the applicable laws that apply to you regarding online conduct and behavior and proper content.

We reserve the right to refuse access and/or service for anyone, for any reason at any time.

Security

You are solely responsible for keeping all your personal information with us confidential. You are solely responsible for protecting the security and confidentiality of your identification. You agree to report to us any breach of security and you indemnify us from any responsibility related to this matter.

We do random checks to find offenders and cheaters but we are counting on you to help us police this site and keep its high quality. We are an open, informative site and we would like anyone to feel safe and enjoy the process and its positive outcomes.

There are no fees for the use of this Site. No hidden fees. No other fees. 

Prohibited Postings, Transactions and Behavior

This is a site for honest people who obey the law. We would like everyone to feel safe and unthreatened, not offended by material or language that is inappropriate. Got it? 

Please behave yourself — just like you would when you visit friends or family!  Since we are a lean operation, we will do our best to control and monitor our site but we are also asking for your help to point to us immediately when you encounter something or someone that is bothering you. We pledge to you that as soon as we are aware of a violation, we will immediately start the process to investigate that person and delete the offensive content.

We will not hesitate to report to the local authorities if we find someone disturbing or trying to harm the service to you. 

The general categories of items and services that are not allowed on this site are:

• Anything related to illegal drugs 
• Any kind of material that is defamatory, libelous, unlawfully threatening, unlawfully harassing, may impersonate or intimidate any person
• Any pornography or adult material of any kind including child pornography
• Anything related to the solicitation and/or offering of illegal services
• Anything related to violence and/or abuse
• Any racist content 

Behavior

You shall not be:

• In breach of, or circumvent any laws, third party rights, or our systems, policies, or determinations
• Infringe upon any third-party’s copyright, patent, trademark, trade secret or other proprietary or intellectual property rights, or rights of publicity or privacy.
• Fraudulent, inaccurate or misleading
• Be defamatory, threatening, offensive, harassing, obscene, or intimidating to anyone involved with this Site directly or indirectly involved in transactions which are illegal and/or stolen, dangerous or harmful, and/or infringe on others’ ownership rights including referrals to other links via the Site
• Involved directly or indirectly with destructive transmission of data and/or copying or transmitting data to/from the Site and/or its users, which can harm the site directly or indirectly.
• Hack the Site in any form and attempt to imitate its operation and/or imply or falsely suggest that you are associated with the Site.
• Distribute or post spam, unsolicited or bulk electronic communications, chain letters, or pyramid schemes.
• Distribute viruses or any other technologies that may harm the Site, or its users.
• Use any robot, spider, scraper or other automated means to access our Site for any purpose.
• Copy, modify, or distribute rights or content from our Site or our copyrights and trademarks.
• Place advertisements in your posts and/or Content (as defined below).

Content Rights

License: We do not claim ownership rights in any or all of your data, text, information, usernames, graphics, images, photographs, profiles, audio, video, items, and links (all shall be referred to herein as “Content“). You hereby grant the Site a worldwide, non-exclusive, perpetual, irrevocable, royalty free sub licensable (through multiple tiers) right  to exercise the copyright, publicity, and database rights you have in the Content, in any media now known or not currently known, with respect to your Content. You agree to allow us to store or re-format your Content on the Site and display your Content on the Site in any way as we choose or see fit. We will only use personal information in accordance with our Privacy Policy.

By uploading Content to the Site you hereby declare that you own and/or have the right to use such Content in this manner and that such Content does not infringe any third party intellectual property rights. You agree to keep us harmless in any case where a third party accesses our site and uses your Content without permission as we cannot control it. In the event that we receive a complaint with respect to any Content posted by you it shall be your sole responsibility to deal with such a complaint and to compensate us for any loss suffered. 

We reserve the right to delete any Content that we deem inappropriate without any prior notice for any reason at any time.

As part of a transaction that may occur on the Site, you may obtain personal information, including email address and shipping information, from another user/s of the Site. Without obtaining prior permission from the other user, this personal information shall only be used for that transaction, or for the Site’s related communications. We do not grant you with a license to use the information for unsolicited commercial messages. Without limiting the foregoing, or without express consent from the user, you are not licensed to add any of the Site’s users to your email or physical mail list. 

Idea Submissions: We consider any unsolicited suggestions, ideas, proposals or other material submitted to it by users via the Site or otherwise (other than the Content and the tangible items sold on the Site by users) (collectively, the “Material”) to be non-confidential and nonproprietary, and we shall not be liable for the disclosure or use of such Material. If, at our request, any member sends Material to improve the Site (for example through customer support), we will also consider that Material to be non-confidential and nonproprietary and we will not be liable for use or disclosure of the Material. Any communication by you to us is subject to this Agreement. You hereby grant, and agree to grant us, under all of your rights in the Material, a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully-paid, sublicensable and transferable right and license to incorporate, use, publish and exploit such Material for any purpose whatsoever, commercial or otherwise, including, but not limited to, incorporating it in the systems, documentation, or any product or service, without compensation or accounting to you and without further recourse by you. 

Tracking Systems 

We may use tracking systems, log files, and cookies to obtain and collect information about you. We use cookies to personalize our Site. Cookies also enable us to recognize you when you return to our Site, and provide additional functionality to you.
By using the Site you agree to this tracking and agree to let third parties (contracted by us) to place cookies on your computer hard drive.

International Access

This Site may be accessed from countries other than the United States. This Site may contain products or references to products that are not available outside of the United States. To the extent permitted by law, we will not be liable for any indirect or consequential loss or damage (including without limitation loss of business, opportunity, data, profits) arising out of, or in connection with, the use of the Site.

We make no warranty that the functionality of the Site will be uninterrupted or error free, that defects will be corrected or that the Site or its server that makes it available are free of viruses or anything else which may be harmful or destructive.

Release

If you have a dispute with one or more users, you hereby declare that you release us (and our affiliates and subsidiaries, and our and their respective officers, directors, employees and agents) from any and all claims, demands and damages (actual and consequential) of any kind and nature, known and unknown, arising out of, or in any way connected with, such disputes. In entering into this release you expressly waive any protections (whether statutory or otherwise) that would otherwise limit the coverage of this release to include only those claims which you may know or suspect to exist in your favor at the time of agreeing to this release.

Indemnification

Upon request by us, you agree to defend, indemnify and hold harmless GidiGrintein.com and its subsidiaries, affiliates, officers, agents or other partners and employees from all liabilities, claims and expenses, including reasonable attorneys’ fees, made by any third party due to, or arising out of, content you submit, post to, or transmit through this Website, your use of the Site, your violation of this Agreement or your violation of any rights of another.

Resolution and Disputes

Since our site is free of charge and has only good intentions, we hope that we will not have any claims or any problems from our users. In the event that such matter occurs, please submit your claim directly to us first at info@GidiGrintein.com

Any dispute arising from this agreement shall be settled in arbitration in the state of NEW YORK. If you have a dispute with other users, we may try at our sole discretion to help users to resolve said dispute. However, we have no obligations to resolve any disputes of any kind.

Intellectual Property Rights

Other than user’s Content as described above, all content included on the Site, such as text, graphics, code, logos, button icons, images, audio clips, widgets and software, and the compilation of such contents, is the exclusive property of GidiGrintein.com. The content and software on this Site may be used in accordance to the terms and conditions herein. Any other use, including the reproduction, modification, distribution, transmission, republication, display or performance, of the content on the Site is strictly prohibited. 

All the materials published or related to the Site are protected by appropriate copyrights and trademark laws and should be respected worldwide. They shall not be used in any form to imitate or inflict damage upon us.

Nothing in this Site shall be construed as conferring by implication, estoppel or otherwise, any license or right to use in any form or manner any intellectual property, including, but not limited to, any patent, copyright or trademark of GidiGrintein.com. Please be advised that GidiGrintein.net protects its intellectual property rights to the fullest extent of the law.

All rights in our trade names, trademark logos and designs, whether or not appearing in large print or with the trademark symbol, belong exclusively to us and are protected from reproduction, imitation, dilution or confusing or misleading uses under national and international trademark and copyright laws. The use or misuse of these trademarks or any materials, except as permitted herein, is expressly prohibited and nothing stated or implied on this Site confers on you any license or right under trademark of us.

Changes to Site, Software
We reserve the right to:

• Change or remove (temporarily or permanently) the Site or any part of it without notice and you confirm. In any event we shall not be liable for any such change or removal.
• Change, remove, or discontinue any software, service, or promotion as advertised on the Site at any time without notice and you confirm.
• Change this Agreement at any time, and your continued use of the Site following any changes shall be deemed to be your acceptance of such change.

Termination and effect of termination

In addition to any other legal or equitable remedies, we may, without prior notice to you, immediately terminate the Agreement or revoke any or all of your rights granted under this Agreement. Upon any termination of this Agreement, you shall immediately cease all access to, and use of, the Site, in addition to any other legal or equitable remedies, Any termination of this Agreement shall not affect the respective rights and obligations of the parties arising before the date of termination.

Entire Agreement/Severability

This Agreement, together with any amendments and any additional agreements you may enter into with us in connection with the Site, shall constitute the entire agreement between you and us concerning the Site. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect.

General

No agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship is intended or created by this Agreement.

The following Sections will survive any termination of this Agreement: Content Rights, Prohibited Posting, Disclaimer of Warranties; Limitation of Liability, Indemnity, Intellectual Property Rights, and Resolution and Disputes.
